Supplier Terms & Conditions


The following conditions are legally binding agreements when doing business with and providing products and services to T-Top Manufacturing.


1. GENERAL & LEGAL

1.1 Right of Access/Entry.

a. We reserve the right to review the processes and records associated with this order at all suppliers’ facilities with appropriate notification. This right extends to our customers, applicable regulatory agencies, and any sub-tier suppliers used in the fulfillment of this order.

1.2 Sub Tier Source Flow Down.

a. If any portion of a PO is outsourced to a sub-tier source, all requirements of the order, including these Terms and Condition, are required to be flowed down to the sub-tier source for compliance.

1.3 Supplier Performance.

a. We monitor and measure the performance of all applicable supply sources regarding quality and delivery. And deviations from acceptable performed will be communicated to the supplier.

b. Continued issues and lack of response to performance concerns as defined in section 2 can result in the supplier being removed for approved status.

1.4 Professional Ethics & Compliance.

a. The supplier agrees to adhere to legal requirements enforced by all applicable local and international agencies. Such requirements should include proper business ethics of personnel and business practices, safety provisions, human rights, and acceptable labor conditions/practices.

1.5 Special Process Suppliers.

a. All processes performed must be done by qualified personnel with appropriate qualifications and licensing when notated by PO.

b. Calibration. All certificates must identify standards used and must be traceable to NIST (National Institute of Standards Technology). Calibration certificates must notate “as received” and “as left” conditions for internal risk assessment.

1.6 Order Cancellations.

a. If the supplier violates any term and condition noted within, the order can be cancelled by T-Top Mfg. without penalty.

b. If it becomes necessary to cancel an order already in process due to any other reasons than failure to comply with these T&Cs, considerations will be made between both parties.

1.7 Litigation.

1.7.1 Any damages to either party as a result of agreements must be handled in the County of Wise, State of Texas.


2. QUALITY

2.1 Conformance of Products/Services Provided.

a. Conformance records showing the acceptance of products/services provided is required for each shipment/delivery. Lack of conformance records at receiving can initiate a rejected shipment and items can be returned to suppliers’ facility at no additional cost to T-Top Mfg.

b. First Article Inspection (FAI) is a 100%-dimensional verification of a representative item from a first production run, lot, or batch. FAI requirements will be noted on the PO if required.

2.2 Use of Accurate Measuring Equipment.

a. All verifications must be performed with calibrated measuring equipment to ensure continued accuracy. A formal calibration process is also required to control such equipment and associated records.

2.3 Notification of Escape.

a. Detection of a nonconforming product regarding any order (currently in work or previously shipped) must be promptly communicated to our quality department for evaluation.

b. Such communication must include PO Number, Lot, Batch, and description of suspected condition.

2.4 Quantity Accuracy.

a. The supplier agrees to ship only the requested quantity as noted on the PO to ensure inventory accuracy.

b. If supplier has a defined quantity variance policy, this must be noted on the shipping documents.

2.5 Product Configuration Changes.

a. Products or services provided must meet defined requirements listed on the PO. Any differences between what is listed above and what is provided by the supplier must be clearly identified, communicated, and approved prior to shipping.

b. Supplier is not allowed to modify drawings, specifications, or product characteristics without written consent of our engineering and/or quality departments.

c. Any deviations to this will result in a rejection returned back to a supplier for correction.

2.6 Records.

a. All records demonstrating conformity of products and services must be provided with each shipment and individual lot, batch, or service provided.

b. All materials provided or used in the products/services provided must retain full traceability to the manufacturing sources and raw materials.

c. Records must be retained by the supplier for a minimum of 10 years, regardless of if records were provided to T-Top Mfg.

2.7 Corrective Action.

a. The supplier agrees to complete and return formal Corrective Action Requests (CAR’s) submitted by T-Top Mfg. due to poor performance trends or significant quality issues within the time allotted.
